I. GENERAL POLICY

These Terms & Conditions (“Terms”) govern all domestic and international (export) business transactions between Zenthara Lipids (“Seller,” “we,” “our”) and any buyer or entity (“Buyer”, “you”).
By placing an order, accepting a quotation, or engaging in business with Zenthara Lipids, you agree to these terms.

II. DOMESTIC TERMS & CONDITIONS (INDIA)

1. Pricing & Taxes

  • Prices are quoted in INR (₹), on an ex-factory or ex-warehouse basis, unless otherwise mentioned.
  • GST will be applied as per prevailing government regulations.
  • Freight and insurance within India are chargeable unless specified as “Delivered.”

2. Payment Terms

  • Advance: A minimum 60% advance payment is required to confirm the order.
  • Balance: The remaining 40% is payable before dispatch from the factory/warehouse.
  • Payment can be made via bank transfer (NEFT/RTGS) or other approved digital modes.
  • Goods will be dispatched only after payment realization.

3. Delivery & Risk

  • Delivery timelines will be informed during order confirmation.
  • Risk of damage or loss passes to the buyer once goods leave our premises.
  • Any transport delay, damage, or loss must be claimed directly with the carrier.

4. Product Quality & Claims

  • All products are supplied in accordance with agreed specifications and the Certificate of Analysis (COA) at dispatch.
  • Claims regarding product quality or quantity must be submitted in writing within 7 days of receipt.
  • Zenthara Lipids’ liability is limited to the replacement of the product or refund of its invoice value only.

5. Returns & Non-Returnable Policy

  • Products once dispatched are non-returnable, except for manufacturing defects verified by our Quality Department.

6. Limitation of Liability

  • Zenthara Lipids shall not be responsible for any indirect or consequential losses, including profit loss, business interruption, or third-party damages.

7. Jurisdiction

  • All domestic transactions are governed by the laws of India.
  • Any dispute shall fall under the exclusive jurisdiction of the courts of Junagadh, Gujarat, India.

III. EXPORT TERMS & CONDITIONS

1. Pricing Basis (Incoterms 2020)

  • “Unless otherwise agreed in writing, all prices are quoted on an FOB (Free On Board) basis in accordance with Incoterms 2020.”
  • Seller’s Responsibility: All costs and risks up to loading on the vessel, including inland transport and export customs clearance.
  • Buyer’s Responsibility: Freight, insurance, unloading, import clearance, and local delivery at destination.

2. Quotation Validity & Currency

  • Quotations remain valid for 30 days from the issue date.
  • Zenthara Lipids reserves the right to revise prices if exchange rates fluctuate by more than 3% between quotation and payment.

3. Taxes & Import Duties

  • All import duties, local taxes, customs, and clearance fees at the destination are the sole responsibility of the buyer.

4. Payment Terms

  • Advance: 60% of the order value is required to confirm the order.
  • Balance: 40% payable before factory loading or as per agreed LC/TT terms.
  • Production begins only after receipt of advance payment in full.

5. Documentation

  • Standard documents included:
    • Commercial Invoice
    • Packing List
    • Certificate of Analysis (COA)
  • Additional certificates (kosher, allergen-free & vegan declaration, organic, halal, etc.) are available at extra cost.

6. Product Quality & Responsibility

  • Products conform to the agreed COA at dispatch.
  • The buyer must ensure compliance with all import, safety, and usage regulations in their country.

7. Non-Returnable & Claim Policy

  • All export sales are final and non-returnable.
  • Quality or quantity claims must be submitted within 48 hours of receipt at destination with valid supporting documents.

8. Force Majeure

  • Zenthara Lipids shall not be liable for failure or delay caused by events beyond its control, including port congestion, vessel delay, natural calamities, or governmental restrictions.

9. Limitation of Liability

  • Maximum liability shall not exceed the total invoice value of the shipment.
  • Zenthara Lipids is not liable for indirect, incidental, or consequential losses.

10. Governing Law & Jurisdiction

  • All export contracts are governed by Indian law.
  • Jurisdiction lies exclusively with the courts of Junagadh, Gujarat, India.

IV. INTELLECTUAL PROPERTY & CONFIDENTIALITY

  1. All product formulations, trade secrets, brand names, and technical know-how remain the exclusive property of Zenthara Lipids.
  2. The Buyer shall not reproduce, transfer, or use Zenthara’s proprietary data, specifications, or branding without written consent.
  3. All commercial terms, pricing, and documentation are strictly confidential.

V. GENERAL CONDITIONS

  • These Terms supersede all prior verbal or written communications.
  • Any modification or amendment is valid only if approved in writing by an authorized Zenthara Lipids representative.
  • Use of Zenthara’s products implies acceptance of these Terms.
